1. Definitions

“Lupon Media” refers to Lupon Media FZ-LLC, a company registered in the UAE.
“Publisher” means any entity using the Lupon Media platform to monetize inventory.
“Inventory” means ad placements available on the Publisher’s digital properties.
“Impressions”, “Clicks”, “CPM”, “Ads.txt”, “Sellers.json” have their industry-standard meanings.
“Invalid Traffic (IVT)” includes non-human traffic, misrepresentation, artificial inflation, or any activity identified by Lupon Media or demand partners as invalid or fraudulent.
“Net Revenue” means gross earnings received from demand partners minus any deductions, clawbacks, invalid traffic adjustments, bid shading, fees, or discrepancies.

2. Agreement

By accessing or using Lupon Media’s monetization services, the Publisher agrees to these Terms & Conditions.

3. Publisher Responsibilities

Publisher agrees to:

3.1 Provide accurate and complete information

Publisher must ensure domain ownership, correct business details, and maintain updated account information.

3.2 Maintain ads.txt and sellers.json accuracy

Publisher is solely responsible for ensuring that ads.txt is correctly configured at all times.
Lupon Media is not liable for any revenue loss resulting from incorrect, missing, or outdated ads.txt entries.

3.3 Prevent Invalid Traffic

Publisher must not engage in or permit:

  • automated traffic
  • paid-to-click services
  • incentivized traffic without approval
  • misrepresentation of inventory
  • refresh manipulation
  • any form of artificial impression/click inflation

Lupon Media may suspend or terminate service immediately if IVT is detected.

3.4 Compliance with laws

Publisher must comply with GDPR, privacy, data protection, COPPA (if applicable), and local regulations.

4. Lupon Media Responsibilities

Lupon Media will provide:

  • Monetization through demand partners
  • Real-time bidding infrastructure
  • Reporting and analytics
  • Fraud detection systems
  • Payment based on verified demand partner revenue

Lupon Media acts as an independent data controller for pseudonymous ad-related technical data (cookie IDs, IP-city level, device info).

5. Prohibited Inventory

Publisher may not monetize:

  • Adult, illegal, violent, or hateful content
  • Content containing malware, forced redirects, deceptive UI
  • Pirated streaming sites unless pre-approved
    Lupon Media may block or disable monetization at its discretion.

6. Revenue & Payments

6.1 Revenue calculation

Revenue is based solely on amounts actually received by Lupon Media from demand partners for Publisher’s verified impressions.

6.2 Adjustments & Clawbacks

Lupon Media may deduct or reverse revenue in case of:

  • Invalid Traffic detected by ANY demand partner
  • DSP/SSP clawbacks
  • Policy violations
  • Technical discrepancies
  • Chargebacks or investigation holds

These adjustments may occur up to 180 days after the activity.

6.3 Payment terms

Payments are made monthly, subject to:

  • Minimum threshold
  • Verified revenue
  • Complete and accurate billing information

Lupon Media may extend payment timelines if demand partners delay payment.

7. Termination

Either party may terminate with written notice.
Lupon Media may terminate immediately in cases of:

  • Invalid Traffic
  • Ads.txt violations
  • Fraud
  • Misrepresentation
  • Security threats
  • Non-compliance with these Terms

Upon termination, outstanding revenue will be paid only after all demand partners verify the traffic as valid.

8. Data Protection & GDPR

8.1 Roles

Lupon Media acts as:

  • Independent Controller for pseudonymous advertising data
  • Processor only for specific publisher-provided data (if applicable)

8.2 Types of data

Pseudonymous identifiers (cookie IDs, IP-city level, device info).
No direct personal identifiers are stored.

8.3 EU Representative

Lupon Media has appointed an EU GDPR Representative under Article 27:
GDPR EU Rep – Ireland (www.eurep.ie)

The representative may be contacted for GDPR-related matters.

8.4 Cross-border transfers

Transfers outside the EU are governed by Standard Contractual Clauses (SCCs) and technical safeguards.

8.5 Data retention

  • Log data: up to 18 months
  • Financial/account data: 5–7 years
  • Support enquiries: only as long as required

9. Liability

9.1 Disclaimer

Lupon Media is not responsible for:

  • Publisher revenue loss from incorrect ads.txt
  • Demand partner decisions or blocking
  • Invalid traffic deductions
  • Third-party outages
  • DSP/SSP suspension
  • Loss of revenue due to policy enforcement

9.2 Limitation of Liability

Lupon Media’s total liability is limited to USD 15,000 OR the last 60 days of publisher revenue — whichever is lower.

9.3 No warranty

Services are provided “as is” without guarantees of fill rate, eCPM, or demand volume.

10. Indemnification

Publisher agrees to indemnify and hold harmless Lupon Media from all claims related to:

  • Invalid Traffic
  • Ads.txt errors
  • GDPR or privacy violations
  • Content violations
  • Misleading inventory
  • Publisher actions or negligence

11. Governing Law

This Agreement is governed by the laws of the UAE (Emirate of Fujairah).
Any disputes shall be resolved exclusively before the courts of the UAE or through arbitration in Dubai/UAE upon Lupon Media’s choice.

12. Modifications

Lupon Media may update these Terms at any time. Publisher’s continued use constitutes acceptance of updated Terms.

13. Entire Agreement

This document represents the full and complete agreement between the parties.
